Brookfield closes purchase of Rouse Properties
BSREP II Retail Pooling LLC – an affiliate of alternative assets investment firm Brookfield Asset Management – has closed its acquisition of Rouse Properties, Inc., a real estate investment trust that owns and manages regional malls and retail centres in the U.S.
The deal was announced back in February 2016 when Brookfield agreed to buy Rouse Properties at about US$2.8 billion, including debt. Under the terms of the merger agreement, Rouse’s shareholders, excluding Brookfield and its affiliates, will receive $18.25 per share in cash.
In addition, Rouse and its stockholders that are affiliated with Brookfield completed the previously announced exchange wherein Rouse exchanged its common stock, held by Brookfield and its affiliates prior to the merger. As a result, Rouse’s common stock will be delisted from the New York Stock Exchange.
